Terms and Conditions of Use Of Esusu and Celeris.

These terms and conditions (“Terms”) govern the use of the Esusu and Celeris (“Application”) provided by Inclusystems (“we,” “us,” or “our”). By using the Application, you agree to comply with these Terms. If you do not agree with any part of these Terms, you should not use the Application.

  1. Account Creation and Usage.
  • Eligibility

To use the Application, you must be at least 18 years old and capable of entering into a binding contract. A registered business or a registered cooperative that is capable of entering into a binding contract may also use the application. By using the Application, you represent and warrant that you meet these eligibility criteria.

  • Account Registration.

To access certain features of the Application, you must register an account. You agree to provide accurate and complete information during the registration process and to keep your account information updated.

Registering on our platform and activating implies acceptance and joining of Celeris Cooperative, registered in Nigeria.

  • Account Security

You are responsible for maintaining the security and confidentiality of your account login credentials. You agree not to share your login credentials with any third party and to notify us immediately of any unauthorized access to or use of your account.

  1. Use of the Application.

2.1. License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Application for personal and non-commercial purposes.

However, there are further rules you may be subjected to if you accept to join a group or a cooperative. Those rules are binding in so far as they do not contradict the stipulations of this document.

2.2. Prohibited Activities.

You agree not to:

(a) Use the Application for any illegal, fraudulent, or unauthorized purpose;

(b) Interfere with or disrupt the operation or security of the Application;

(c) Reverse engineer, modify, or create derivative works of the Application;

(d) Circumvent or manipulate the security measures or authentication process of the Application;

(e) Use the Application to send unsolicited promotional or commercial communications; or

(f) Violate any applicable laws or regulations while using the Application.

  1. Personal Data and Privacy

3.1. Data Collection and Usage

By using the Application, you acknowledge and agree that we may collect, process, and store your personal data as described in our Data Protection Policy. You consent to the collection, use, and disclosure of your personal data in accordance with our Data Protection Policy.

3.2. Security

We implement reasonable security measures to protect your personal data. However, you understand and acknowledge that no method of transmission over the internet or electronic storage is completely secure, and we cannot guarantee the absolute security of your personal data.

  1. Intellectual Property Rights.

4.1. Ownership

The Application, including its content, features, and functionality, is owned by Inclusystems and is protected by intellectual property laws. You acknowledge that all rights, title, and interest in the Application are and will remain the exclusive property of Inclusystems.

4.2. Restrictions.

You agree not to reproduce, modify, sell, lease, or exploit any part of the Application without our prior written consent.

  1. Limitation of Liability

To the maximum extent permitted by law, Inclusystems and its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use or inability to use the Application.

  1. Termination

We reserve the right to suspend or terminate your access to the Application at any time, without notice, for any reason or no reason, in our sole discretion.

  1. Modifications to the Terms

We may update or modify these Terms from time to time. Any changes will be effective immediately upon posting the revised Terms on the Application. Your continued use of the Application after the posting of the revised Terms constitutes your acceptance of the changes.

  1. Governing Law and Dispute Resolution

                  12             These Terms shall be governed by and construed in accordance with the laws of Federal Republic of Nigeria. Any dispute arising out of or relating to these Terms or the use of the Application shall be resolved exclusively in Abuja.

  1. Entire Agreement

These Terms constitute the entire agreement between you and Inclusystems regarding the use of the Esusu and Celeris and supersede any prior agreements or understandings.
